Terms of Service

By placing an order, entering into a purchase agreement, or otherwise engaging in commercial transactions with Zhongshan Boantai Electric Technology Co., Ltd. ("Boantai," "we," "us," or "our"), you ("Client," "Customer," or "you") acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

These terms apply to all business relationships, including but not limited to the purchase of flow sensors, thermostats, integrated anti-electric-wall safety valves, and any custom-manufactured components. If you do not agree with any part of these terms, please refrain from placing orders or engaging in business with Boantai.

Boantai specializes in the research, development, manufacturing, and sale of the following product categories:

All product specifications, descriptions, and technical data provided on our website, catalogs, or marketing materials are for reference purposes only. Boantai reserves the right to modify product specifications to improve performance or comply with updated regulatory standards without prior notice.

4.1 Order Placement

All orders must be submitted in writing via purchase order, email, or through our authorized sales representatives. An order is considered confirmed only upon written acknowledgment from Boantai. We reserve the right to accept or decline any order at our discretion.

4.2 Pricing

Prices are quoted in the agreed-upon currency and are valid for the period specified in the quotation. Unless otherwise stated, prices are Ex Works (EXW) Zhongshan and do not include shipping, insurance, taxes, duties, or other applicable charges. Boantai reserves the right to adjust pricing with reasonable notice due to changes in raw material costs, exchange rates, or regulatory requirements.

4.3 Payment Terms

Payment terms shall be as agreed in the purchase contract or quotation. Standard terms require a deposit upon order confirmation with the balance due prior to shipment, unless a credit arrangement has been established. Late payments may incur interest charges and may result in order suspension or cancellation.

4.4 Minimum Order Quantities

Certain products may be subject to minimum order quantities (MOQ). MOQ requirements will be communicated at the time of quotation. Custom-manufactured products may have higher MOQ thresholds.

Boantai offers comprehensive customization services including modifications to dimensions, structure, functionality, and materials. The following terms apply to custom orders:

• Specifications: Client must provide complete and accurate specifications. Boantai is not responsible for defects arising from incomplete or inaccurate customer-provided specifications.
• Tooling & NRE: Non-recurring engineering (NRE) charges and tooling costs, where applicable, shall be borne by the Client and are non-refundable.
• Approval: Samples will be provided for client approval prior to mass production. Written approval is required before production commences.
• Cancellation: Custom orders cannot be cancelled once production has commenced. The Client shall be liable for all costs incurred up to the point of cancellation.

Boantai is committed to delivering products of the highest quality. Our quality assurance framework includes:

Production is conducted in strict accordance with GB 14536.1, EN60730, UL873, and other applicable international standards. Our dedicated testing laboratory is equipped with aging test benches, temperature testing platforms, Hall effect testers, and a comprehensive suite of inspection equipment to ensure every product meets our rigorous quality standards.

7.1 Standard Warranty

Boantai warrants that all products will be free from defects in materials and workmanship under normal use and service conditions for a period of twelve (12) months from the date of delivery, unless otherwise agreed in writing.

7.2 Warranty Claims

Claims must be submitted in writing within the warranty period with detailed descriptions of the defect and supporting evidence (photographs, test reports, etc.). Boantai will, at its sole discretion, repair, replace, or issue credit for confirmed defective products.

7.3 Warranty Exclusions

This warranty does not cover:

• -- Damage caused by improper installation, misuse, negligence, or unauthorized modification
• -- Normal wear and tear
• -- Products used outside specified operating parameters
• -- Damage resulting from exposure to conditions beyond rated environmental specifications
• -- Products that have been altered or repaired by parties other than Boantai

Boantai holds 6 invention patents and 55 utility model patents. All intellectual property rights, including but not limited to patents, trademarks, trade secrets, designs, technical know-how, and proprietary manufacturing processes, remain the exclusive property of Boantai.

For custom-designed products, intellectual property ownership shall be determined as specified in the individual project agreement. In the absence of such agreement, all IP developed by Boantai in the course of custom manufacturing shall remain the property of Boantai.

Both parties agree to maintain the confidentiality of all proprietary and sensitive information exchanged during the course of business. Confidential information includes, but is not limited to:

• • Technical specifications, drawings, and product designs
• • Pricing, commercial terms, and business strategies
• • Manufacturing processes and quality control methods
• • Customer lists and supplier information

This confidentiality obligation survives the termination of any business relationship for a period of three (3) years. Disclosure may only be made with prior written consent or as required by law.

To the maximum extent permitted by applicable law:

• a. Boantai's total liability for any claim arising out of or related to these terms or any product shall not exceed the total amount paid by the Client for the specific product(s) giving rise to such claim.
• b. In no event shall Boantai be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of production, loss of business opportunities, or reputational damage.
• c. The Client is solely responsible for ensuring that products are suitable for their intended application and comply with all applicable local regulations and safety standards in the end-use market.

11.1 Delivery Terms

Unless otherwise agreed, all shipments are made Ex Works (EXW) Zhongshan, China, in accordance with Incoterms® 2020. Risk of loss or damage transfers to the Client upon delivery to the carrier.

11.2 Lead Times

Estimated lead times are provided in good faith but are not guaranteed. Boantai shall not be liable for delays caused by circumstances beyond its reasonable control. Clients will be notified promptly of any anticipated delays.

11.3 Inspection

The Client must inspect all goods within seven (7) business days of receipt and report any discrepancies, shortages, or visible damage in writing. Failure to report within this period constitutes acceptance of the goods as delivered.

Neither party shall be held liable for failure or delay in performing obligations under these terms due to events beyond reasonable control, including but not limited to natural disasters, war, terrorism, epidemics or pandemics, government actions or sanctions, labor disputes, supply chain disruptions, power failures, or other events of force majeure. The affected party shall promptly notify the other party and make reasonable efforts to mitigate the impact. If a force majeure event continues for more than ninety (90) days, either party may terminate the affected order(s) without liability.

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China.

Any dispute arising out of or in connection with these terms shall be resolved through friendly negotiation. If negotiation fails, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its rules. The arbitration shall take place in Guangzhou, China, and the language of arbitration shall be Chinese, unless otherwise agreed.

The arbitral award shall be final and binding upon both parties.

Boantai reserves the right to modify or update these Terms of Service at any time. Changes will be posted on our website with an updated "Last Updated" date. For existing contractual relationships, material changes will be communicated to affected clients at least thirty (30) days before taking effect. Continued business engagement after the effective date of any modifications constitutes acceptance of the revised terms.
